Bicycle Rental Agreement, Liability Waiver, and Release

WOW air ehf., id. 451011-0220, Katrínartúni 12, 105 Reykjavík,is the owner of aself-servebicyclerentalsystem(“Service”)(“Company,”“Our,”or“We”).InconsiderationofyouruseofService,Companyrequiresthatyou(“User”,“You”,or“Your”)agreetoalltermsandconditionsinthisBicycleRentalAgreement,LiabilityWaiver,andRelease(“Agreement”),whichareintendedtopromotethesafeuseof WOW citybikebicycles,andwhichapplytoallLong-TermUsersas well astoallSingle TripUsers,asdefinedbelow. InthisAgreement,“User”meansandincludesbothLong-Term UsersandSingle Trip Users.

 

Section1.ModificationstoAgreement

 

Companyreservestherighttounilaterallyamend,modify,orchangethisAgreement,atanytimeandfromtime totimeinitssole discretion,without notice andwithoutUser’sconsent.Bycontinuingto useanyServiceafteranyamendment,modification,orchange,Userhasagreedtobeboundbyallsuchamendments,modifications,and changes.User mustcarefullyreviewthisAgreementonaregularbasistomaintainawarenessofallamendments,modifications,andchanges.WheneverachangeismadetothisAgreement,Companywillpostanotificationonwww.wowcitybike.com(“Website”).

 

Section2.TermofAgreement

 

This Agreementshall remain in full force and effect beginning with Yourfirstuseof anyService,andas otherwise provided in this Agreement;provided,however,thatYourpersonalfinancialresponsibilityunderSection15ofthisAgreement,titled“CreditCardMatters”,expiresoneyearafterthelaterof(i)YourlastuseofanyService,or(ii)theexpirationof any pass purchased for the use of any Service (each a “Pass” or “User Pass”).Atanytimeandfromtimetotime,andwithoutUser'sconsent,CompanymayunilaterallyterminateYourrighttouseanyService,inCompany’ssolediscretionandwithoutanynoticeorcause.ThisAgreementremainsinfullforceandeffectafteranyterminationofYourrighttouseanyService.

 

Section3.ServiceSystem

 

TheServiceiscomprisedofWOW citybikebicyclestations(“Stations”),which sometimesincludeanautomatedpaystation(“PayStation”),andseparatestandsthatallowthedockingofWOW citybikebicycles(“BikeDocks”).TheStationsareforthepurposesoftherenting,docking,andlockingofWOW citybikebicycles,aswellastheidentificationofthe User.UndertheService,Bike Share bicyclesmayberented from any Station and must be returned to any Station.

 

Section4.User Passes

 

Section 4.1  Long-Term Pass.Usermaypurchasealong-term User Pass for the use of the Service,whichmaybeforaperiodofeither(i) 30 days, (ii) 90 days or (iii) from the beginning of use of the Service until 15th of October.

TopurchaseaLong-Term Pass,Usermustcomplete a registrationformandcreateanaccount("Account") on theWebsitetobecomeaLong-TermUser(“Long-Term User(s)”).WhenaLong-Term UsersubscribestotheService,CompanywillchargetheLong-Term User’screditcardtheamountforthePass,asdescribedinSection5.OnceLong-Term User’screditcardpaymentclears,Companywillmailasystem card or key (“system key”) with a welcome packettothemailingaddresslistedbyLong-Term User.Welcome packets are typically received by Long-Term User within one (1) week.  Long-Term Users who elect the Long-Termoption will also have the option to select “auto-renewal” authorizing WOW citybiketo charge a subsequent monthly fee until Long-Term User contacts WOW citybiketo terminate such monthly automatic renewals of the monthly Long-Term Pass.UsermustactivatethesystemkeyontheWebsite,underthe“Login”heading,beforeusingtheServiceforthefirsttime.  ALong-Term PassbecomesvalidandactiveoncethesystemkeyisactivatedontheWebsite.

All users, includingLong-Term Users, muststillpaytheratesassetforthinSection7foralltripsinexcessof30minutes.Usermayrenew (if the “auto-renewal” option was not already selected)theLong-Term PassontheWebsite,underthe“Login”heading.IftheLong-Term Passisnotrenewedwithinthisperiodoftime,thenUsermaybe required to(i)takecertainactionstoreactivateLong-Term User'sAccount,or(ii)createanentirelynewAccountforanewLong-Term Pass.TheLong-Term Pass,andthepersonalidentificationnumberandsystemkeyrelatedthereto,arenon-transferableandmaybeterminatedifUserbreachesthisAgreement,asdecidedbyCompanyinitssolediscretion.IfaPassisterminatedforanyreason,thennorefundshall beprovided.

 

Section 4.2   Single-TripPass.        Usermay purchase a Pass for a period of 8hours (“Single-Trip pass”).TopurchaseaSingle-TripPass,Userwill be prompted for paymentat the Station;provided;however,thatSingle-TripUsermustin addition paytheratesassetforthinSection6 and all users, includingDaily Users, muststillpaytheratesassetforthinSection6foralltripsinexcessof30minutes.

 

 

Section5.Single-TripPassUser RatesandBenefits

 

ADailyUsermustpayan$7flatfeeforaSingle-TripPass,plusadditionalchargespursuanttotheratessetforthinSection6, and whenaSingle-TripUsersignsupfortheServiceat the Stationthe charge will appear on Daily User’s credit card statement.

 

Section6.UsageRates

 

InadditiontotheLong-TermandSingle-TripPassratesoutlinedinSections4through5,allUsersaresubjecttousageratesassetforthinthechartbelow.SolongasUserreturnstheWOW citybikebicycletoaBikeDockwithin30minutes,nousagechargeapplies. UsermayremoveanotherWOW citybikebicyclefromaBikeDockafterreturningand docking thepreviousWOW citybikebicycle. If the bicycle is not returned within 30 minutes, Users will be charged usage rates based on the Pass Type:

Section7.AvailabilityofService

 

CompanymakeseveryefforttoprovidetheService from April 15 to October 15 butdoesnotguaranteethattheServicewillbeavailableatalltimes,asforcemajeureevents such as weather conditionsorothercircumstancesmightpreventCompanyfromprovidingtheService.AccesstotheServicealsoisconditionedontheavailabilityofWOW citybikebicyclesateachStation.CompanydoesnotrepresentorwarranttheavailabilityofanyServiceortheavailabilityofanyWOW citybikebicycleatanyStation.UsermayusetheWebsite orthe CycleFinder app, which may be downloaded from theiTunes Store or Google Play,toconsulttheinventoryof WOW citybikebicyclesavailableataStation.

 

Section8.DirectionsforUsingService

 

Section8.1RemovingBicycle.

 

Section8.1(a)RemovingBicyclebyLong-TermUser.Long-Term Usermustinserthis/hersystemkey or cardintothereaderslotontheBikeDockkeyboard,toremovetheWOW citybikebicyclefromtheBikeDock.Afterthesystemkeyhasbeeninsertedintothereaderslot,Long-Term Userwill have 20 secondstoremovetheWOW citybikebicyclefromtheBikeDock.ThesignallightremainsyellowduringthevalidationofLong-Term User’ssystemkey,andthesignallightturnsgreenwhentheWOW citybikebicyclecanberemoved.Twosoundsignalsarealsoemitted.IftheWOW citybikebicycleisnotremovedwithin20second period,theBikeDocklocksandLong-Term Usermustrepeattheprocessdescribedabove.

 

Section8.1(b)RemovingBicyclebySingle-TripUser.ASingle-TripUsermustinsertacreditcard or cashintothe Pay Station or, if using the Transit App, obtaina5-digitcodeaftercompleting the paymentprocess.TheDaily Usermustthentypethe5-digitcodeintotheBikeDockkeyboard,to removethe WOW citybikebicyclefromtheBikeDock.Afterthe5-digitcodehasbeenentered,theSingle-Trip Userhas 20secondstoremovetheWOW citybikebicyclefromtheBikeDock.ThesignallightremainsyellowduringthevalidationoftheDaily User’s5-digitcode,andthesignallightturnsgreenwhentheWOW citybikebicyclecanberemoved.Twosoundsignalsarealsoemitted.  Ifthe WOW citybikebicycleisnotremovedwithin 20 seconds,theBikeDocklocksand theSingle-Trip Usermustrepeattheprocessdescribedabove.EachtimeaSingle-Trip UserwouldliketoremoveanewWOW citybikebicyclefromaBikeDock,Daily UsermustinsertacreditcardintothePayStation, insert the applicable cash payment or renew using the Transit Appandobtainanew5-digitcode,toremovethenextWOW citybikebicycle.ADaily Usermayremoveupto fourWOW citybikebicyclesoneachcreditcardaccount,andSingle-Trip Userwillbechargedfortheuseof fourWOW citybikebicycles.  Note that if a Single-TripUser rents multiple bicycles in one transaction, only one (1) 5-digit code will be issued for removal of the WOW citybikebicycles from the Bike Dock.

 

Section8.2ReturningBicycle.ToreturntheWOW citybikebicycle,UsermustsecureitintoanavailableBikeDock.Asoundsignalisemitted,andthesignallightturnsyellow,thengreen,confirmingthattheWOW citybikebicyclehasbeenproperlysecuredtotheBikeDock.IftheWOW citybikebicycleisnotproperlysecuredintheBikeDock,thenthesignallightturnsred,andalongersignalsoundisemitted.Ifthesignallightturnsred,Usermustrepeattheoperationuntilthesignallightturnsgreen,andtheWOW citybikebicycleisproperlysecuredintheBikeDock.Ifthesignallightdoesnotturngreen,UsermustreturntheWOW citybikebicycletoanotheravailableBikeDock.IfthereisnoavailableBikeDockattheStation,thenUsersmustpushthe“TimeCredit”icononthePayStationscreenunderthe“MoreOptions”menu.Long-Term UsersmustinserttheirkeyintothereaderslotonthePayStationandDaily UsersmustswipetheircreditcardatthePayStation,toobtainanadditional15-minutecreditinwhichtoreturntheWOW citybikebicycletoanotherStation.NofeeischargedtoUserfortheadditional15-minutecredit.UsermayimmediatelyremoveanotherWOW citybikebicyclefromaBikeDock.AnyWOW citybikebicyclethatisnotproperlysecuredremainsthesoleresponsibilityofUser,andtheusageratessetforthinSection4willbechargeduntiltheWOW citybikebicycleisproperlysecured.

 

Section8.3PermittedPeriodofContinuousUse;LostorStolenBicycle.UseoftheServiceislimitedtoaperiodof8consecutivehours(“PermittedPeriodofContinuousUse”).IfUsermaintainspossessionoftheWOW citybikebicyclebeyondthePermittedPeriodofContinuousUse,thentheWOW citybikebicycleisdeemedlostorstolen,User’screditcardmaybechargedafeeof150.000 ISK,andapolicereportmaybefiledwithlocalauthorities.Companywill firstattempttocontacttheUserviatelephoneandemailpriortochargingthecreditcard, usingthecontactinformationprovidedbytheUseruponsubscribing,inanattempttolocatetheWOW citybikebicycle.ThedatageneratedbytheService’scomputerisconclusiveevidenceoftheperiodofuseofaWOW citybikebicyclebyUser.Usermustreportthedisappearanceof a WOW citybikebicycletoCompanywithin24hoursfollowingthedisappearanceandmustreportthedisappearancetothelocalpolicedepartmentwithin48hours.IfUserpromptlyfilesapolicereportandforwardsthepolicereporttoCompany,thenCompanymay,initssolediscretion,choose to charge User a reduced fee based on theft or damage to the WOW citybikebicycle.AnyusethatexceedsthePermittedPeriodofContinuousUseisdeemedadisappearanceoftheWOW citybikebicycle,untiltheWOW citybikebicycleisfoundorreturnedtoaBikeDock.

 

Section8.4LostorDamagedSystemKey. IfUser’ssystem keyhasbeenlostordamaged,areplacementmaybepurchasedbycalling(354) 590 3085orbyemailinghelp@wowcitybike.comandreportingthatthesystemkeyhasbeenlostordamaged.Areplacementchargeforthelostordamagedservicekeywillbecharged,andareplacementsystemkeywillbemailedtoUser’smailingaddressofrecord.

 

Section9.GeneralAssumptionofRiskbyUser.

 

UseragreesthatridingaWOW citybikebicycleinvolvesmanyobviousandnot-so-obviousrisks,dangers,andhazards,whichmayresultininjuryordeathtoUserorothers,aswellasdamagetoproperty,andthatsuchrisks,dangers,andhazardscannotalwaysbepredictedoravoided.Useragreesthatsuchrisks,dangers,andhazardsareUser'ssoleresponsibility.UseragreesthatifUser’suseofanyServicecausesinjuryordamagetoanotherpersonorproperty,thenUsermaybeliableforallresultinginjuries,damages,andrelatedcosts.BychoosingtorideaWOW citybikebicycle,Userassumesallresponsibilityforallrelatedrisks,dangers,andhazards,andUseragreesthatCompanyisnotresponsibleforanyinjury,damage,orcostcausedbyUserwithrespecttoanypersonorproperty,includingtheWOW citybikebicycleitself.UserissolelyandfullyresponsibleforthesafeoperationoftheWOW citybikebicycleatalltimes.UsermayneedtotakeadditionalsafetymeasuresorprecautionsnotspecificallyaddressedinthisAgreement.

 

Section10.ProhibitedActs.

 

UsermustnotrideaWOW citybikebicyclewhilecarryinganybriefcase,backpack,bag,orotheritemelse,ifitimpedesUser’sabilitytooperateaWOW citybikebicyclesafely.

 

Usermustnotuseanycellulartelephone,textmessagingdevice,portablemusicplayer,orotherdevicethatmaydistractUserfromsafelyoperatingaWOW citybikebicycle.

 

UsermustnotoperateaWOW citybikebicyclewhileundertheinfluenceofanyalcohol,drugs,orothersubstancethatmayimpairUser’sabilitytosafelyoperateaWOW citybikebicycle.

 

UsermustnotcarryasecondpersononaWOW citybikebicycle.

 

UsermustnotdockorlockanybicycleinanyStationotherthanWOW citybikebicycles.

 

Usermustnotuseanylockingmechanism,otherthanthelockingmechanismprovidedbyCompanyattheBikeDock,tolockaWOW citybikebicycletoaBikeDock.No WOW citybikebicycle should be left unattended unless securely returned to and lock in a Bike Dock.

 

Usermustnotviolateanyapplicablefederal,provincial,orlocallaw,includingthoseforbicycleriders.

 

UsermustnotdismantleormodifyaWOW citybikebicycleinanyway.ThisruledoesnotapplytotheuseoftheseatheightadjustmentfeatureonWOW citybikebicycles.

 

UsermustnotexceedthemaximumweightlimitfortheWOW citybikebicycle 135kg (298pounds)orthecargocarrier10kg (22pounds).

 

UsermustnotoperateaWOW citybikebicycleinextremeweatherconditions,includingsnow,hail,andelectricalstorms,whichmakeitmoredangeroustooperateaWOW citybikebicycle.UserisadvisedtoadjustUser'sridingbehaviorandbrakingdistancetosuittheweatherconditions.

 

UsermustnotallowotherstouseaWOW citybikebicyclethatUserhasremovedfromaBikeDock.UserunderstandsthatwhenUserremovesfromaWOW citybikebicyclefromaBikeDock,itistobeusedonlybyUser. UsermustnottransferUser’ssystemkey,5-digitcodeatthePayStationor anyotherAccountinformationtoanyotherperson.

 

Section11.AdditionalUserObligations.

 

UseragreesthatUserisacompetentbicycleoperator,issufficientlyfittosafelyoperateaWOW citybikebicycle,andhastaken all precautions necessary to ensure that User is capable of engaging insuchphysicalactivity.Likeanyphysicalactivity,ridingaWOW citybikebicyclemaycauseminorormajorinjuriesordiscomfortandmayworsenorcomplicateunderlyingmedicalconditionsordiseases.BychoosingtorideaWOW citybikebicycle,Userassumesallresponsibilityforallsuchinjuriesorothermedicalconditions.

 

Useragreesthatbicyclesaremachinesthatmaymalfunction,evenifthebicycleisproperlymaintained,andthatsuchmalfunctionmaycauseinjury.UseragreesthatbeforeusingaWOW citybikebicycle,UserwillinspecttheWOW citybikebicycle to determinethefollowing:(i)adequatetirepressure;(ii)operationofallbrakesandlights;(iii)properattachmentoftheseat,pedals,andbasket;(iv)goodconditionoftheframe;and(v)anysignofdamage,unusualorexcessivewear,orothermechanicalproblemormaintenanceneed.UseragreesnottoridetheWOW citybikebicycleifUsernoticesanymechanicalorotherproblemorsafetyissue,andUseragreestopromptlynotifyCompanyofallproblemsandissuesandtouseadifferentWOW citybikebicycle.Useragreestopressthe“FaultyBike”buttonwithin1minuteofdockingaWOW citybikebicyclethatUsernoticeshasanymechanicalorotherproblemorsafetyissue.

 

UseragreesthatCompanydoesnotprovideormaintainriding paths or other locations for ridingWOW citybikebicycles,andthatCompanydoesnotguaranteethattherewillalwaysbeasafeplacetorideaWOW citybikebicycle. Roads,bicyclelanes,andbicycleroutesmaybecomedangerousduetoweather,traffic,orotherhazards.UsermustnotuseaWOW citybikebicycleforracing,ridingoff-road,oranyotheruse,besidessafeoperationonpublicorprivateroadsorpropertyanddesignatedbicycleroutes.

 

UseragreesthatCompanyisnotacommoncarrier.AlternativemeansofpublicandprivatetransportationareavailabletothegeneralpublicandtoUserindividually,includingpublicbus,taxis,andpedestrianpaths.CompanyprovidesWOW citybikebicyclesonlyasaconvenience,andsuchrentalavailabilityisintendedbyCompanytobeusedonlybythosepersonswhoareableandqualifiedtooperateaWOW citybikebicycleontheirownandwhohaveagreedtoalltermsandconditionsofthisAgreement.

 

UsermustreturntheWOW citybikebicycletoaStationandmustinserttheWOW citybikebicycleintoaBikeDock,within8hoursfromthetimetheWOW citybikebicyclewasoriginallyremovedfromaBikeDock.UseragreesthatiftheWOW citybikebicycleisnotreturnedtoaStationandinsertedintoaBikeDockwithin8hours,thentheWOW citybikebicycleisdeemedmissingorstolen,andUserdoesherebyauthorizeCompanytochargeUser’screditcardas provided in Section 8.3.

 

UseragreesthatCompanymayrequireUsertoreturnaWOW citybikebicycleatanytime.

 

UseragreesthataccesstotheServiceisdeniedtoanypersonlessthan16yearsofage,whetherornotaccompaniedbyaparentorguardian.Minorswhoareatleast16yearsofagemayusetheService,butonlyiftheServiceissubscribedforbyorundertheresponsibilityoftheminor’sparentorguardian;and,theparentorguardianisfullyliableforallinjuries,damages,andcostscausedbytheminor’suseoftheService.

 

UsermustreportallaccidentsandinjuriesinvolvingaWOW citybikebicycletothelocalauthoritiesandtoWOW citybike'sCustomerServiceat(354) 590 3085assoonaspossible,butinnoeventlaterthan24hoursaftertheoccurrenceoftheaccidentorinjury.

 

UseragreesifUserisunabletoreportidentifyinginformationduetoamedicalemergency,Companymay,atitsdiscretion,providepersonalandcontactinformationtotheauthoritiesupontheirrequest.

 

Section12.AdditionalFees.

 

IftheWOW citybikebicycleisnotreturnedtoaBikeDockwithinthePermittedPeriodofContinuousUse,thenUserwillbechargedafeeas provided in Section 8.3 of this Agreement.IftheWOW citybikebicycleis returnedtoaBikeDockdamagedorinastateofdisrepair arising out of User’s negligence, except for normal wear and tear,thenUserwillbechargedafeethatisequaltothecostofrepair.Suchfeesmaybechargedassoonas8hoursaftertheWOW citybikebicycleisnotreturnedorisreturnedinadamagedstate.CompanywillattempttocontacttheUserviatelephoneandemailbeforechargingtheUser'screditcard,byusingthecontactinformationprovidedbytheUserwhensubscribingtotheService.

 

Section13.Helmets.

 

Wearinganapprovedhelmet,properlysized,fitted,andfastened,whilecyclingmayprotectagainstaninjury,ormaylessentheseverityofaninjury,causedbyanimpacttothehead;however,bicyclehelmetsarenot100%effective,donotprotectagainstallheadinjuries,anddonotprotectagainstotherinjuries.Althoughsome provincialandlocallawsdonotrequirebicycleriderstowearhelmets,Companydoes not provide helmets to Users, but recommendsthatallriderswearaSnell,CPSC,ANSI,orASTMapprovedhelmetthathasbeenproperlysized,fitted,andfastened,accordingtothemanufacturer’sinstructions.Companydoesnotrepresentorwarrantthequalityorsafetycharacteristicsofanyhelmet,andUseragreesthatCompanymustnotbeheldliableforanyinjurysufferedbyUserwhileusingtheService,whetherornotUseriswearingahelmetatthetimeofinjury.

 

Section14.CreditCardMatters.

 

YoumustinputavalidcreditcardnumberandexpirationdatebeforeYouwillbeallowedtousetheService,andYoudoherebyrepresentandwarrantthatYouareauthorizedtousethecreditcard(CompanyacceptsonlyVisa and Mastercard).YoudoherebyauthorizeCompanytochargeYourcreditcardforallexpensesincurredonYourAccount,includingalladditionalfeesandrepaircharges.IfYoudisputeanychargeonYourAccount,thenyoumustcontactCompanywithin10daysofYourreceiptofYourstatementcontainingthedisputedcharge.Usershaveanon-goingdutytoupdateallchangesrelatingtotheircreditcard.IfaDaily UserremovesanotherWOW citybikebicyclefromaBikeDockwhilethepreviousholdisstillineffect,thenanadditionalholdwillnotbeplacedontheUser’screditcard.IftheWOW citybikebicycleisreturnedwithinthe8 hourmaximumperiodofalloweduse,thentheholdmaybereleasedwithintendays,dependingontheUser’sbank’spoliciesregardingholds.AlldenialsofatransactionbyaUser’sbank,allholds,andallothersimilarissuesaretheUser’ssoleresponsibilityandshouldbedealtwithbetweentheUserandhisorherbank.CompanytakesreasonablestepstoensurethatalldatatransmittedbyCompanyisdonesafelyandprivately;however,despitethosesteps,CompanycannotguaranteethecompletesecurityofallcreditcardandotherdatatransmittedbyCompanyorProcessor.PleasereviewtheDISCLAIMERSandLIMITEDLIABILITYsectionssetforthbelow,whichareapplicabletoUser’suseoftheService,includingthetransmissionofcreditcardandotherdata.

 

Section15.Termination.

 

UsermayterminateUser'suseoftheServiceatanytime,andUsermaycancelUser'sPassatanytime;provided,however,that(i)norefundwillbeprovidedbyCompany,(ii)thetermofthisAgreementcontinuesinaccordancewithSection2ofthisAgreement, theholdmayremainonUser’screditcardaccountforupto10days,evenifUserterminatesUser'suseoftheService,and(iii)UsermaystillbechargedanyapplicableadditionalfeesinaccordancewithSection12ofthisAgreement.

 

Section16.ChoiceofLaw;DisputeResolution

 

ThisAgreementisgovernedby,andmustbeconstruedandenforcedinaccordancewith,thelawsofIceland.The Courts of Iceland shall have exclusive jurisdiction over any dispute or claim arising out of or in connection withthis Agreement.

 

Section17.Waiver.

 

NowaiverofanybreachofanyprovisionofthisAgreementisawaiverofanyotherbreachorofanyotherprovisionofthisAgreement.ThetermsofthisAgreementmay be waived oramendedonlyinwritingandonlybythepartythatisentitledtothebenefitsofthetermbeingwaivedoramended.

 

Section18.CumulativeRemedies.

 

Allrightsandremediesgrantedunderor referredtointhisAgreement arecumulativeandnonexclusive,andresorttoonedoesnotprecluderesorttoanotherortoanyotherrightorremedyprovidedbylaw.

 

Section19.FinalAgreement.

 

ThisAgreementcontainsthecomplete,final,andexclusiveintegratedagreementbetweenthepartieswithrespecttoitssubjectmatter.ThisAgreementsupersedesallotherprioragreements,writtenororal,relatingtosuchsubjectmatter.Atanytimeandfromtimetotime,andwithoutUser’sconsent,Companymayunilaterallyamend,modify,orchangethisAgreement,initssolediscretionandwithoutanynoticeorcause.BycontinuingtouseanyServiceafter anyamendment,modification,orchange,Userhasagreedtobeboundbyallsuchamendments,modifications,andchanges.UsermustcarefullyreviewthisAgreementonaregularbasistomaintainawarenessofallamendments,modifications,andchanges.

 

Section20.Representations.

 

Eachparty(“PromisingParty”)representsandwarrantstotheotherpartythat:(i)thePromisingPartyhasthelegalpowerandauthoritytoenterintothisAgreementandtoundertakeandperformallofitsdutiesandobligationshereunder;(ii)thereisnocontractorotherlegalobligationthatpreventsthePromisingPartyfromenteringintothisAgreementorfromundertakingorperformingallofitsdutiesandobligationshereunder;and(iv)thisAgreementisthePromisingParty’slegallybindingandfullyenforceableagreement.

 

Section21.ContractInterpretation.

 

TheheadingsinthisAgreementdonotaffecttheinterpretationofthisAgreement.“Or”isnotbeexclusiveinitsmeaning.“Including”means“including,butnotlimitedto.”“Herein,”“hereunder,”andothersimilartermsrefertothisAgreementasawholeandarenotlimitedtothespecificsectiononparagraphwheretheyappear.PluraltermsrefertoallUsersoftherelevantclass,andsingulartermsrefertooneormoreUsersoftherelevantclass.Allpronounsincludethemasculine,feminine,andneuterpronounforms.Allschedulesandexhibitsreferredtohereinareherebyincorporatedbyreference.

Claims”means,collectively,anyandallclaims,injuries,demands,liabilities,disputes,causesofaction(includingstatutory,contract,negligence,orothertorttheories),proceedings,obligations,debts,liens,fines,charges,penalties,contracts,promises,costs,expenses(includingattorneys’fees,whetherincurredattrial,onappeal,orotherwise),damages(includingconsequential,compensatory,orpunitivedamages),orlosses(whetherknown,unknown,asserted,unasserted,fixed,conditional,orcontingent)thatarisefromorrelatetoanyService,WOW citybikebicycle,Station,BikeDock,orrelatedinformation,includingUser'suseofanyoftheforegoing.InexchangeforbeingallowedtouseanyService,WOW citybikebicycle,Station,BikeDock,orrelatedinformation,User(actingforUserandforallofUser'sagents,affiliates,representatives,successors,heirs,andassigns)doeshereby(i)fullyandforeverreleaseanddischargeCompanyandallofitsowners,officers,directors,affiliates, employees,agents,representatives,successors,andassigns(collectively,“CompanyanditsRelatedParties”)fromallClaimsthatUserhasormayhaveagainstCompanyanditsRelatedParties,exceptforClaimscausedbyCompany'sgrossnegligenceorwillfulmisconduct,and(ii)UseragreestoindemnifyandholdharmlessCompanyanditsRelatedPartiesfromandagainstallClaims,exceptforClaimscausedbyCompany'sgrossnegligenceorwillfulmisconduct.SuchreleasesareintendedtobegeneralandcompletereleasesofallClaims.CompanyanditsRelatedPartiesmaypleadsuchreleasesasacompleteandsufficientdefensetoanyClaim,asintended thirdbeneficiariesofsuchreleases.

Section 26.  Partial Invalidity.  If any provision of this Agreement, or any paragraph, sentence, clause, phrase or word, or the application thereof, in any circumstances, is adjudicated by a court of competent jurisdiction to be invalid, the validity of the remainder of this Agreement shall be construed as if such invalid part were never included herein.
